Bluerendr
These Terms of Use are an agreement between you and Bluerendr ("we", "us"), of Huntington Beach, California, and they govern bluerendr.com and the work we do for you. By asking us for a quote, engaging us for work, applying to work with us, leaving a review or paying an invoice through this site, you agree to them. Where a signed proposal or statement of work says something different, the signed document wins for that project.
1. What we do
We design, build, integrate and maintain software: websites, web applications, mobile applications, back-office systems and the connections between them. Each project is described in a written scope that says what is included, what is not, what we assumed, what it costs and when it is due.
2. Quotes and scope
A quote is fixed against the scope it was written for. If the scope changes, the price and the date may change, and we will tell you in writing before doing the extra work. An estimate given in chat or on a call is an estimate until it appears in a written scope.
3. What you provide
Timely answers, access to the systems and accounts the work needs, content and assets you own or have the right to use, and a decision-maker who can approve work. Delays on these move the delivery date by at least the same amount.
4. Payment
Projects are usually billed in stages set out in the scope, typically a deposit to start and the balance against milestones or on delivery. Support and hosting are billed monthly in advance. Invoices are due within 14 days unless the scope says otherwise. We may pause work on overdue accounts after telling you. Payments through this site are processed by Stripe; we never see your card number.
5. Ownership
On payment in full, you own the code, designs and content we created for you under the scope, and we assign those rights to you. We keep ownership of tools, libraries and know-how we had before the project or that are general in nature, and we license them to you for use in the delivered work without limit. Third-party and open-source components stay under their own licences, which we will identify on request.
Unless you ask us not to, we may name you as a client and describe the work in general terms in our portfolio. We will not publish your confidential information or screenshots without permission.
6. Confidentiality
Each of us keeps the other's non-public business and technical information confidential, uses it only for the work, and protects it with reasonable care. This survives the end of the engagement. It does not cover information that is public, already known, or independently developed.
7. Acceptance and fixes
Each delivery is reviewed against the scope. Tell us within 14 days of anything that does not match it and we will fix it at no charge. After that, or if the delivery is put into production use, it is accepted. Defects reported later are handled under a support agreement if there is one, or quoted as new work.
8. Support and hosting
Where we host or maintain a system for you, we will keep it updated, backed up and monitored as the support agreement describes, and respond to problems within the response time it states. Hosting runs on third-party providers whose availability we do not control; we will choose reputable ones and tell you which.
9. Third-party services
The work may rely on services such as payment processors, messaging providers, map and cloud platforms. Their terms, fees and availability are theirs. Where a provider changes or withdraws something the work depends on, we will propose a way forward, and adapting to it is new work unless a support agreement covers it.
10. If you apply to work with us
What you send through the careers form is used to consider your application and kept as the Privacy Policy describes. Sending it does not create an offer, a contract or an obligation on either side.
11. Reviews and anything else you send us
If you give us permission to publish a review, you give us a non-exclusive right to show it on this site and in our materials, with your name as you supplied it. You can withdraw that permission at any time by writing to us, and we will take it down. Do not send us anything you do not have the right to share.
12. Things you may not do
Use this site or anything we build for you to break the law, infringe someone else's rights, send unsolicited messages, or attack or probe systems you are not authorised to test. Do not try to access the dashboard or any other non-public part of this site.
13. Warranties
We will do the work with reasonable skill and care and in line with the scope. Beyond that, the work and this site are provided as they are. We do not promise a particular commercial result, search ranking, uptime beyond any support agreement, or that software will be free of every defect.
14. Limitation of liability
To the extent the law allows, neither of us is liable to the other for indirect or consequential loss, lost profits or lost data, and our total liability for a project is limited to the fees you paid us for that project in the twelve months before the claim. Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything the law does not allow to be limited.
15. Ending an engagement
Either side may end a project on 14 days' written notice. You pay for work done and non-cancellable costs incurred to that date, and we hand over the work in its current state and anything else the scope says. Either side may end a support agreement on 30 days' notice, and we will help move the system elsewhere for our usual rates.
16. Disputes
These Terms are governed by the laws of the State of California. We will each try to resolve a dispute by talking first. If that fails, the courts of Orange County, California have jurisdiction, unless a signed agreement for the project says otherwise.
17. General
If part of these Terms is unenforceable, the rest still applies. Neither side is responsible for delay caused by events outside its reasonable control. These Terms, together with the written scope for a project, are the whole agreement for that project.
18. Changes
We may update these Terms. The date at the top shows when. Changes apply to work scoped after that date.
